Gentlemen:

Chrysler Huntsville Operations submits herewith its proposal for operating
the subject Circuit Racing Vehicle Test and Operations Center.

The proposed program, including Work Scope and Operating Plan, is set
foxla in the attached Exhibit "A. ”

Our proposal is submitted in the amount of $291,300. (See attached IPA for
details.) It is anticipated that the sum quoted herein will sustain the Center for a
period of twelve (12) months.
